1. Introduction

Welcome to WEAF Company Uganda Ltd. These Terms and Conditions ("Terms") govern your use of our website, software products, API services, EFRIS and ZRA integrations, marketplace, and all related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

WEAF Company Uganda Ltd ("WEAF," "we," "us," or "our") is a leading technology solutions provider registered in Uganda, specializing in software development, tax compliance integrations, and digital transformation services.

2. Acceptance of Terms

By accessing our website at weafcompany.com, using our API services, purchasing products from our marketplace, or engaging with any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use our Services.

4.1 Account Creation: To access certain Services, you may be required to create an account. You must provide accurate, current, and complete information during registration.

4.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4.3 API Keys: API keys and authentication tokens provided to you are confidential and must not be shared with third parties. You are responsible for securing these credentials.

5. Acceptable Use Policy

You agree not to:

• Use our Services for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Infringe on intellectual property rights of others
• Transmit viruses, malware, or other malicious code
• Attempt to gain unauthorized access to our systems or networks
• Reverse engineer, decompile, or disassemble our software (unless explicitly allowed)
• Resell or redistribute our Services without authorization
• Use our API services to exceed rate limits or abuse the service
• Submit false or fraudulent information to tax authorities through our integration services

6. Intellectual Property Rights

6.1 Our Ownership: All content, software, code, designs, logos, trademarks, and materials available through our Services are owned by or licensed to WEAF Company Uganda Ltd and are protected by intellectual property laws.

6.2 Marketplace Products: When you purchase source code from our marketplace, you receive a license to use the code as specified in the product's license terms. Ownership rights remain with WEAF or the original creator unless explicitly transferred.

6.3 Your Content: You retain ownership of any content, data, or materials you submit through our Services. By submitting content, you grant us a license to use, store, and process it as necessary to provide our Services.

7. Payment and Billing

7.1 Fees: Certain Services require payment of fees. All fees are stated in the applicable currency and must be paid in accordance with the payment terms provided.

7.2 Payment Methods: We accept various payment methods including credit cards, debit cards, mobile money, and bank transfers as indicated during checkout.

7.3 Subscriptions: For subscription-based services, you authorize us to charge your payment method on a recurring basis until you cancel the subscription.

7.4 Refunds: Refund policies vary by service type. Software and source code purchases are generally non-refundable once delivered, unless the product is defective or materially different from what was described.

7.5 Taxes: You are responsible for any applicable taxes, duties, or government charges related to your purchase.

8. Tax Compliance Integration Services

8.1 Compliance Responsibility: While we provide integration services to connect your systems with URA (EFRIS) and ZRA (Smart Invoice) platforms, you remain solely responsible for the accuracy of data submitted and compliance with all applicable tax laws and regulations.

8.2 Data Transmission: You authorize us to transmit invoice and transaction data to the relevant tax authorities on your behalf when using our integration services.

8.3 Third-Party Requirements: Your use of EFRIS and ZRA integration services is subject to the requirements and policies of URA and ZRA respectively. We do not control these third-party requirements.

8.4 Service Availability: Integration service availability may be affected by third-party systems (URA/ZRA platforms). We are not responsible for downtime or issues caused by these external systems.

9. API Usage Terms

9.1 API Access: API access is provided subject to rate limits and usage quotas based on your subscription plan.

9.2 API Keys: You must keep your API keys secure and confidential. We may revoke API keys if we detect unauthorized use or abuse.

9.3 Rate Limits: Excessive API requests may result in temporary or permanent suspension of API access. Rate limits are documented in our API documentation.

9.4 API Changes: We reserve the right to modify, deprecate, or discontinue any API endpoints with reasonable notice to developers.

10. Data Privacy and Security

10.1 Privacy Policy: Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10.2 Data Security: We implement industry-standard security measures to protect your data. However, no system is completely secure, and we cannot guarantee absolute security.

10.3 Data Retention: We retain your data as necessary to provide Services and comply with legal obligations. You may request deletion of your data subject to legal requirements.

11. Warranties and Disclaimers

11.1 Service Warranty: We strive to provide high-quality Services but do not guarantee that Services will be uninterrupted, error-free, or completely secure.

11.2 "AS IS" Provision: Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

11.3 Third-Party Services: We are not responsible for the performance or availability of third-party services, including URA EFRIS and ZRA Smart Invoice systems.

12. Limitation of Liability

To the maximum extent permitted by law, WEAF Company Uganda Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or information
• Business interruption
• Tax penalties or fines resulting from data submitted through our Services
• Damages arising from third-party service failures

Our total liability for any claims arising from or related to these Terms or Services shall not exceed the amount you paid to us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless WEAF Company Uganda Ltd, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of our Services
• Your violation of these Terms
• Your violation of any third-party rights
• Inaccurate data submitted to tax authorities through our integration services

14. Term and Termination

14.1 Term: These Terms remain in effect while you use our Services.

14.2 Termination by You: You may stop using our Services at any time. For subscription services, you must cancel according to the cancellation procedures provided.

14.3 Termination by Us: We may suspend or terminate your access to Services immediately if you violate these Terms or for any reason with or without notice.

14.4 Effect of Termination: Upon termination, your right to use Services ceases immediately. Provisions that by their nature should survive termination shall survive.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of Services after changes constitutes acceptance of the modified Terms.

16. Governing Law and Dispute Resolution

16.1 Governing Law: These Terms are governed by the laws of the Republic of Uganda, without regard to conflict of law provisions.

16.2 Dispute Resolution: Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiations.

16.3 Jurisdiction: If negotiations fail, disputes shall be resolved in the courts of Kampala, Uganda.

17. General Provisions

17.1 Entire Agreement: These Terms constitute the entire agreement between you and WEAF Company Uganda Ltd regarding the Services.

17.2 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

17.3 No Waiver: Our failure to enforce any provision shall not be considered a waiver of our right to enforce it.

17.4 Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
